Preamble

We, the members of Creaky Ion, united by our shared passion for creativity, innovation, and community, hereby establish this constitution to guide the operations, governance, and ethical principles of our social enterprise in the UK.

Article 1: Mission and purpose

Section 1.1: Mission

Our mission is to seamlessly blend the realms of art, community, and business, unlocking a world of possibilities. We curate impactful moments, design meaningful experiences that prioritise people, and empower individuals through the transformative power of art and culture. Creaky Ion is a catalyst for innovation, where the art of the possible drives both artistic and business landscapes.

Section 1.2: Aims and objectives

Creaky Ion aims to achieve the following social and community goals:

  1. Design, create, and curate meaningful experiences while educating, informing, and inspiring through creative activities.

  2. Transfer knowledge, information, and ideas while igniting conversation and critical thinking.

  3. Grow the community and collective, reaching new audiences through accessible and inclusive projects, products, and services.

  4. Design, create, and develop an ecosystem that supports creativity, innovation, and growth.

  5. Become a semi-decentralized autonomous organisation (DAO) that is tokenized or web3 gated.

Article 2: Organisational structure

Section 2.1: Community members

All individuals actively involved and contributing to Creaky Ion are considered community members.

Section 2.2: Founding members

Founding members are individuals who played a pivotal role in the establishment of Creaky Ion and have a long-term commitment to its mission.

Section 2.3: Senior Leadership Team (SLT)

The SLT guides the overall direction of Creaky Ion, consisting of the Lead Coordinator, Project Leads, Content Curator, Community Management and Engagement, Advisory Board, and Subject Matter Experts.

Lead Coordinator

  • Oversees day-to-day operations.

  • Acts as the primary point of contact for external engagements.

Project Leads

  • Responsible for leading and delivering projects aligned with user, community, and organisational needs.

Content Curator

  • Reviews and curates submitted content.

  • Ensures alignment with Creaky Ion's mission and values.

Community Management and Engagement

  • Represents Creaky Ion in interactions with the broader community.

  • Facilitates communication between community members.

Advisory Board

  • Consists of experienced individuals providing guidance to the Leadership Team.

Subject Matter Experts

  • Professionals from various fields, contributing expertise in Arts and Heritage, Human-centred design, UX, Business and Finance, Research, Innovation, and Technology.

Section 2.4: Treasurer and asset manager

Responsible for bookkeeping, accounting, pricing, and financial strategy.

Ensures the digital asset fund aligns with Creaky Ion's mission, growth, and self-sustainability values.

Section 2.5: Decision-making process

Creaky Ion values a collaborative and inclusive decision-making process:

  1. Proposal: Any community member can propose an idea or decision.

  2. Discussion: The SLT discusses the proposal, gathering input from the community.

  3. Consensus Building: Efforts are made to reach consensus among the SLT and the community.

  4. Vote (if necessary): If consensus isn't reached, a vote may be held, with a simple majority determining the outcome.

Article 3: Operational processes

Creaky Ion operationalises using agile ceremonies, including sprints, retrospectives, stand-ups, show and tells, with regular check-ins, such as monthly meetings or online updates.

Article 4: Financial model

Creaky Ion plans to generate revenue or secure funding through donations, crowdfunding, subscriptions, sales of art, products, or services, royalties, copyright licensing, and digital asset management. Profits will be reinvested into the social mission, projects, the community, research and development, marketing, reserves, and the digital asset management fund.

Article 5: Membership and stakeholders

Section 5.1: Membership criteria

To join Creaky Ion, individuals should demonstrate a genuine passion for creativity, innovation, and exploration. They should be open to collaboration, willing to share ideas and perspectives, and committed to contributing to the collective growth of the community and Creaky Ion.

Section 5.2: Membership rights

As members of Creaky Ion, individuals have the following rights:

  1. Participation: Actively participate in Creaky Ion's events, discussions, and projects.

  2. Contribution: Contribute ideas, knowledge, and skills to the collective creative process.

  3. Feedback: Provide feedback on Creaky Ion's activities, structure, and decision-making processes.

  4. Recognition: Be recognized for contributions to Creaky Ion's success.

Section 5.3: Membership responsibilities

As members of Creaky Ion, individuals should uphold the following responsibilities:

  1. Respect: Respect the opinions and contributions of all members.

  2. Collaboration: Collaborate effectively with other members towards common goals.

  3. Commitment: Participate regularly and contribute to Creaky Ion's success

  4. Openness: Be open to new ideas, fostering a culture of innovation.

  5. Continuous Learning: Continuously learn and grow to benefit the collective.

Section 5.4: Identifying key stakeholders

Creaky Ion will identify key stakeholders based on impact, interest, influence, resources, and relationships.

Section 5.5: Engaging key stakeholders in decision-making

Creaky Ion will involve key stakeholders through active consultation, transparent communication, a collaborative approach, respectful dialogue, formal mechanisms, and continuous evaluation.

Article 6: Governance and decision-making

All major decisions, such as changes to the mission, significant projects, or modifications to the structure, are discussed among the SLT. Decisions may be taken independently by the SLT if time-critical, special considerations, or with input from Stakeholders, the Advisory Board, or SMEs.

Article 7: Legal and compliance considerations

If a semi-DAO cannot be established, Creaky Ion will determine the appropriate legal structure, such as a Community Interest Company (CIC) or a Charitable Incorporated Organization (CIO) in the UK. Creaky Ion complies and is governed by all UK laws, regulations, and GDPR.

Article 8: Ethical Guidelines

Creaky Ion commits to social and environmental responsibility, modern slavery, diversity, equality, and inclusion (DEI) throughout its operations, activities, and decision-making processes.

Section 8.1: Social and environmental responsibility

Creaky Ion strives to:

  • Adopt sustainable practices.

  • Support ethical sourcing.

  • Promote social impact.

Section 8.2: Modern slavery

Creaky Ion will:

  • Implement robust due diligence.

  • Establish clear policies and procedures.

  • Enhance transparency.

Section 8.3: Diversity, Equality, and Inclusion (DEI)

Creaky Ion aims to:

  • Promote inclusivity.

  • Address unconscious bias.

  • Implement diversity initiatives.

Article 9: Specific clauses or requirements

Founding members and/or the SLT have discretionary power to veto any proposal that may bring Creaky Ion into disrepute, be unlawful, negatively impact sustainability, prevent organisational capture, or due to special considerations.
